Terms and Conditions

1. Legal Agreement

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client," "User," or "You") and CodyMentor Software House (the "Company," "We," "Us," or "Our"), a software development company registered in Sahiwal, Punjab, Pakistan.

By accessing our website, using our services, or communicating with us, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use our services.

2. Services Provided

CodyMentor Software House offers the following services:

• Web Development: Custom websites, web applications, e-commerce platforms, and CMS solutions
• Mobile App Development: iOS and Android applications using native and cross-platform technologies
• UI/UX Design: User interface design, user experience research, prototyping, and design systems
• Developer Mentorship: Training programs, coding bootcamps, and 1-on-1 mentorship for aspiring developers
• IT Consulting: Technology advisory, digital transformation, and software architecture consulting

Specific project scope, deliverables, timelines, and pricing will be detailed in separate Project Agreements or Statements of Work (SOW).

3. Client Responsibilities

As a client, you agree to:

• Provide timely feedback, approvals, and required materials
• Ensure you have the legal right to any content, images, or data provided to us
• Make payments as agreed in the Project Agreement
• Cooperate in good faith to achieve project objectives

Delays caused by client unresponsiveness may result in adjusted timelines and additional costs.

4. Payment Terms

4.1 Project Pricing

Pricing is provided in Pakistan Rupee (PKR) or USD as agreed. Unless otherwise specified:

• 50% advance payment is required to commence work
• 25% upon milestone completion (if applicable)
• 25% final payment before project delivery or deployment

4.2 Hourly Consulting

For hourly engagements, we invoice monthly for hours worked. Payment is due within 7 days of invoice date.

4.3 Late Payments

Late payments may incur a fee of 2% per month (24% APR) on outstanding balances. Work may be paused until payments are settled.

4.4 Refund Policy

Advance payments are non-refundable after work has commenced, as we reserve development time and resources specifically for your project.

5. Intellectual Property Rights

5.1 Deliverables

Upon full payment, we assign to you all intellectual property rights for the custom code, designs, and deliverables created specifically for your project. This excludes:

• Third-party libraries, frameworks, and tools (licensed separately)
• Our pre-existing code, templates, and proprietary frameworks
• Open-source components (subject to their original licenses)

5.2 Portfolio

We reserve the right to showcase completed projects in our portfolio, case studies, and marketing materials unless a Non-Disclosure Agreement (NDA) prohibits such disclosure.

5.3 Feedback and Suggestions

Any feedback, suggestions, or ideas you provide may be used by us without compensation or obligation to you.

6. Confidentiality

We treat all client information, project details, and business data as strictly confidential. We do not share your information with third parties except as necessary to provide services or as required by law.

If additional confidentiality protections are required, we can sign a separate Non-Disclosure Agreement (NDA).

7. Warranties and Disclaimers

7.1 Our Warranty

We warrant that our services will be performed in a professional manner consistent with industry standards. We provide a 30-day bug fix period after project completion for errors in our delivered work.

7.2 Disclaimer

OUR SERVICES ARE PROVIDED "AS IS." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that our services will be error-free, uninterrupted, or meet all your requirements.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CODYMENTOR SOFTWARE HOUSE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OUR SERVICES.

Our total liability for any claim shall not exceed the total amount paid by you to us in the twelve (12) months preceding the claim.

9. Termination

Either party may terminate a project agreement with written notice. Upon termination:

• Client pays for all work completed up to termination date
• We deliver all completed deliverables (source code, designs, documentation)
• Unused advance payments (if any) will be refunded

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Pakistan. Any disputes arising under these Terms shall be resolved exclusively by the courts of Sahiwal, Punjab, Pakistan.

11. Dispute Resolution

Before initiating legal proceedings, both parties agree to attempt good-faith negotiation to resolve disputes. If negotiation fails, disputes shall be submitted to mediation in Sahiwal before pursuing arbitration or litigation.

12. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

13. Entire Agreement

These Terms, together with any Project Agreement, Statement of Work, or NDA, constitute the entire agreement between you and CodyMentor Software House regarding our services and supersede all prior agreements and understandings.

14. Amendments

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services constitutes acceptance of the revised Terms.
